TUI issues successfully 1.3 billion euros in the debt capital markets

Following a roadshow in Europe and Asia and due to strong demand, TUI was able to upsize its issuance of securities in the debt capital markets from 1.0 billion euros to 1.3 billion euros.
The transaction comprised three tranches: 550 million euros of floating rate senior notes, 450 million euros of fixed rate senior notes and 300 euros million of non-dilutive subordinated hybrid securities. Citigroup, Deutsche Bank, HVB Corporates & Markets and Royal Bank of Scotland were bookrunners on the transaction.
The interest on the floating rate notes due on December 10, 2010 is 155 basis points above 3-month Euribor. The coupon on the 2012 Senior Notes will be 5.125 percent. The hybrid securities are subordinated and have a perpetual maturity. TUI may redeem the hybrid securities in January 2013 and at any interest payment date thereafter. They bear interest at a fixed rate of 8.625 percent until January 2013 and thereafter, if not called, at a floating rate of 730 basis points above 3-month Euribor, reflecting a step-up of 200 basis points.
TUI expects to use the proceeds of the offering to refinance its existing indebtedness incurred in connection with the acquisition of CP Ships Limited ("CP Ships"), to fund the acquisition of the remaining 11.0 percent shares in CP Ships and to refinance certain other indebtedness.
TUI CFO Rainer Feuerhake comments: “We are happy about the high acceptance of the placement of our bonds at the financial markets. Within a short period of time we managed to long-term refinance the whole acquisition of CP Ships“.
TUI is the largest fully integrated tourism group in Europe and, in terms of turnover, is market leader in Germany, the United Kingdom and France (Europe’s three largest countries in terms of population) as well as a leading tourism group in nine other European countries. TUI also operates a significant shipping division comprising Hapag-Lloyd Container Line and the recently acquired CP Ships, thereby becoming one of the five largest container shipping companies in the world by capacity.
