Annual General Meeting with high level of participation All topics on the agenda passed with large majorities

Hanover, June 18, 2003

Around 1,900 shareholders and shareholders' representatives as well as 260 guests and journalists attended today's 44th Annual General Meeting of the Group at the Congress Centre Hanover. During the voting they represented 96,280,000 shares corresponding to a capital of Euro 246,476,800 (54 per cent).

Topics on the agenda were the presentation of the adopted annual financial statements for the 2002 financial year, the management report, and the report of the supervisory board. These were followed by the approval of resolutions on the appropriation of the net income for the year, and the discharge of the executive board and the supervisory board. PwC Deutsche Revision Aktiengesellschaft Wirtschaftsprüfungsgesellschaft, Hanover, was authorised by the annual general meeting to carry out the audit of the annual accounts for the 2003 financial year. The global authorisations for the issue of bonds with conversion rights and option rights, and the purchase of its own shares were passed by the meeting. There were also large majorities in favour of the resolutions for the fixed remuneration of the supervisory board, the remuneration of the review body, the D&O insurance, changes in the memorandum and articles of association (participation at the annual general meeting, the exercise of voting rights, company disclosures), and approval of an intercompany agreement with a subsidiary.

All of the proposed resolutions were approved with 97.9 per cent yes votes. The Annual General Meeting was closed at 07.00 p.m. CET by Dr. Friedel Neuber, TUI AG supervisory board chairman.
